The cloud services of SimpleAppli Inc. (hereinafter, "the Service") are provided in accordance with these Terms of Use (hereinafter, "these Terms").

1-1. You may use the Service only if you agree to these Terms.
1-2. These Terms are additional terms that apply, when using our specific cloud services, on top of our regular Terms of Service (https://simpleappli.com/en/terms_en.html).
Matters not specified in these Terms are governed by the regular Terms of Service.
1-3. Cloud services refer to software and data delivery services provided through computer networks.
2-1. You use the Service at your own risk, and are responsible for all actions taken using the Service and their results.
2-2. You are responsible for your use of the Service, for all content you post, and for all consequences resulting from it.
2-3. We may change the form and content of the Service at any time without prior notice to you, and you agree to this.
2-4. We may stop your use of the Service without prior notice.
2-5. Of these services, the Open Cloud service may only be used by users of the ChemGraphic apps for various operating systems who have a remaining period of availability,
and posted data from users becomes Public Domain. For this reason, users waive intellectual property rights regarding the posted data.
This waived data includes not only the file itself but also the text and image data within the posted file.
This is intended, for example, to improve the convenience of structural data used in scientific papers.
Please be careful not to include personal information in posted data. If it is found that personal data is included, we may delete it.
3-1. You must appropriately protect, at your own risk, information such as the authentication password used with the Service.
We bear no responsibility for damages caused by inadequate management, errors in use, or use by a third party.
In addition, this information must not be used by a third party, nor may it be lent, transferred, have its name changed, traded, or pledged.
3-2. If you stop using the Service, we may delete information about you within the Service, information you have uploaded, and so on.
"Stopping use" refers to cancelling a subscription, account suspension or freezing, or more than one year having passed since your last date of use.
3-3. While we store customer data provided through the cloud service, we do not guarantee that there will be no data corruption or loss.
Necessary data must be preserved at your own risk, and we bear no responsibility for damages caused to users.
When using the Service, you must not engage in the actions described in this section.
If it is found that you have engaged in matters described in this section, including the regular Terms of Service, we may check the information of the relevant person and take measures such as account suspension, freezing, or immediate deletion of data.
4-1. Acts that infringe, or may infringe, the intellectual property rights (including but not limited to copyrights, design rights, patents, utility model rights, trademark rights, and know-how) or other rights of other members, third parties, or us.
4-2. Acts that infringe, or may infringe, the property or privacy of other users, third parties, or us.
4-3. Acts that disclose, or may disclose, personal information such as an individual's real name, email address, address, or phone number.
4-4. Abusive language, discrimination, stalking, defamation of others, or other acts that cause discomfort, or acts that may do so.
4-5. Acts that cause, or may cause, disadvantage, financial harm, or emotional distress to other users, third parties, or us.
4-6. Using or providing harmful programs, such as computer viruses, through or in connection with the Service.
4-7. Investigating vulnerabilities in the Service, and acts similar to so-called hacking.
4-8. Acts constituting spam.
4-9. Any other act that violates, or may violate, the law.
5-1. We implement security measures for our services to help ensure the security of the Service environment.
However, this does not guarantee that unauthorized access to or unauthorized use of the Service will be completely prevented, and you use the Service with an understanding of these risks.
5-2. In the event of a natural disaster, incident, or other emergency (or the likelihood thereof), scheduled or emergency maintenance of our systems, failures of telecommunications equipment, or other unavoidable circumstances,
we may suspend all or part of the operation of the Service without prior notice at our discretion, and we bear no legal liability for any damage caused to users as a result.
We will make ongoing efforts to improve these Terms of Use. In addition, these Terms may be changed due to changes in laws or other circumstances.
The revised Terms take effect from the time they are posted on our website.
