These Terms are Product Terms that set out the conditions for using the app "ChemGraphic 2" and its accompanying cloud service (hereinafter, together, "the App") provided by SimpleAppli Inc. (hereinafter, "we" or "us").
* The original version of these Terms is the Japanese version (https://simpleappli.com/terms_chemgraphic2), and this is a translation. Although we have prepared it carefully, if there is any difference from the original due to translation, the original Japanese Terms will apply.
1-1. These Terms are Product Terms under our Terms of Service (hereinafter, "the Common Terms") and form part of the Common Terms.
The Common Terms apply to matters not covered by these Terms, and if there is any inconsistency between these Terms and the Common Terms, these Terms prevail.
1-2. If you obtained the App from the App Store, Google Play or the Microsoft Store, that store's terms of use also apply.
2-1. You need to register an account to use the App. You can register with Sign in with Apple, Sign in with Google, or an email address. The available sign-in methods differ depending on the type of device.
2-2. If you register with an email address, you will be asked to verify it.
2-3. Your registered email address is used to send important notices, such as advance notice of data deletion. Please keep it able to receive email.
If you chose "Hide My Email" with Sign in with Apple, we will send notices through Apple's relay address.
2-4. Notwithstanding Sections 5-2 and 4-4 of the Common Terms, an account managed by a school (meaning a school as defined in Article 1 of the School Education Act of Japan, or an equivalent school outside Japan, including universities)
may be used by that school's faculty, staff and students on shared devices managed by that school. Such an account may not be used on personal devices.
The school is responsible for the management and use of such an account.
2-5. If you use your personal account on a shared device, please sign out after use.
3-1. The features of the App are available while you are subscribed to the monthly or annual plan (hereinafter, "the Subscription"). The price is the amount shown by each store at the time of purchase.
3-2. The Subscription is purchased through the App Store, Google Play or the Microsoft Store. Payment, auto-renewal, cancellation and refund procedures follow each store's rules.
If the price, billing timing or other purchase conditions shown in the App or on our website differ from those shown by the store, the store's display and terms prevail in accordance with Section 6 of the Common Terms.
3-3. With one Subscription, you can use the App on all supported devices signed in with the same account (including devices that use a different store from the one where you purchased the Subscription).
3-4. If you purchase through multiple stores, each purchase is a separate Subscription and each is charged. Refunds in that case follow each store's rules.
Please change your plan through the store where you purchased the Subscription.
3-5. We may offer a free trial to new customers. Whether a free trial is offered, and its length and number of times, are as shown by each store at the time of purchase and as set out in each store's rules.
We may change or end the free trial offer. After the free trial ends, it automatically converts to a paid Subscription unless you cancel by the deadline set by each store.
3-6. Please cancel through the account settings of the store where you purchased the Subscription. Deleting the App or deleting your account does not cancel the Subscription.
4-1. A single Subscription can be used by only one account at a time.
4-2. If a store Subscription is being used by another account, you can move the Subscription to your current account by using "Switch account" in the App.
The Subscription moves only when you perform this operation; it never moves automatically.
4-3. If you move the Subscription, the previous account can no longer use the features of the App. Files saved in the previous account are not moved to the new account.
The data of the previous account will be deleted in accordance with Section 7.
If you need the files in the previous account, we recommend saving them to your device using the App's export feature before moving the Subscription.
5-1. Customers with an active ChemGraphic 1 (Mac or iOS) subscription can use the App until the expiration date of their previous subscription by entering a migration key issued in ChemGraphic 1 on the account creation screen that appears after first signing in to the App.
5-2. One migration key is issued per previous subscription. A migration key can be entered only on the account creation screen described in the preceding paragraph, and cannot be entered after you start using the App without entering a migration key. A used migration key cannot be used again, even after the account is deleted.
5-3. During the period of use granted by a migration key, you cannot purchase a Subscription or change plans in the App, in order to prevent double charging.
5-4. If you receive a refund for the previous subscription after a migration key has been issued, we may cancel the period of use granted by that migration key.
6-1. Files and drawing styles you create in the App are saved on our servers and synced among devices signed in with the same account.
6-2. You can save up to a total of 500 files per Subscription, with a maximum of 15 MB per file. If you have moved the Subscription under Section 4, files saved in the previous account are also included in this count.
These limits may change.
6-3. After the Subscription ends, you can view the list of saved files, but you cannot open, edit or save files.
6-4. If the Subscription ends while you are editing, the App may temporarily save the content being edited on your device. However, we do not guarantee this temporary saving or its restoration.
6-5. You are responsible for backing up important files using the App's export feature.
7-1. For an account whose Subscription has ended, we automatically delete the account and all saved data (files, thumbnail images, drawing styles, etc.) when one year has passed since the Subscription (including any free trial period and any period of use granted by a migration key) was last active.
For an account that has never had a Subscription, the period is counted from the date and time the account was registered.
7-2. For an account from which the Subscription was moved under Section 4, the period is counted from the date and time the Subscription was moved.
7-3. If you subscribe again within the periods in the preceding two paragraphs, the period is counted again from the date and time that Subscription ends.
7-4. We will send advance notice of deletion to your registered email address approximately 30 days before the scheduled deletion date. However, this notice is provided for your convenience only, and deletion will take place as scheduled even if the notice is not sent or does not reach you.
7-5. Deleted accounts and data cannot be restored, even by us.
8-1. You can delete your account at any time from the account screen of the App. When you delete your account, all saved data is deleted immediately and cannot be restored.
8-2. We retain some information necessary to prevent unauthorized use even after your account is deleted.

8-3. Deleting your account does not cancel the Subscription. Please cancel through the store where you purchased the Subscription.
9-1. Features such as IR, ¹H-NMR and ¹³C-NMR spectrum prediction and file format conversion (hereinafter, "the Calculation Features") send the structure information you enter to our servers for processing.
9-2. The results of the Calculation Features are estimates based on empirical rules and computational chemistry methods, and we do not guarantee that they match measured values or are accurate.
If you use the results for papers, research, safety assessments or the like, please verify them yourself.
9-3. We use structure information sent for the Calculation Features only for the calculation, and do not store it on our servers after processing is complete.
However, only when processing fails, the structure information may be recorded for a certain period to investigate the cause.
We do not use structure information you send to train machine learning models.
9-4. High-accuracy IR prediction and some other Calculation Features have conditions of use, such as a limit on the number of uses. The limit and how uses are counted are as determined by us, and we may change them or end the provision of those features.
10-1. To provide the App stably, we may set limits such as the number of times one account can access our servers per day.
10-2. Features that use our servers (sync, saving, the Calculation Features, etc.) may be available only in the latest version of the App. In that case, please update the App to the latest version.
10-3. Features that use our servers are not available during maintenance.
11-1. The rights to the structural formulas, figures, images and other works you create with the App belong to you, and you may freely use them in papers, teaching materials, presentations, commercial materials and the like. No credit to us is required.
11-2. The rights to the App itself (the program, icons, bundled drawing styles, etc.) belong to us or the rightful owners.
