Terms of Service

These Terms of Service (hereinafter, "these Terms") set out the conditions for using the products and services (hereinafter, "the Service") provided by SimpleAppli Inc. (hereinafter, "we" or "us").

* The original version of these Terms is the Japanese version (https://simpleappli.com/terms), and this is a translation. Although we have prepared it carefully, if there is any difference from the original due to translation, the original Japanese Terms will apply.

1. Scope and product-specific terms

1-1. These Terms apply to all relationships between you and us concerning the use of the Service.
1-2. We may establish separate terms for individual products and services in addition to these Terms (hereinafter, "Product Terms"). Product Terms form part of these Terms, and if there is any inconsistency between these Terms and the Product Terms, the Product Terms prevail. The main Product Terms currently in effect are as follows:
・ChemGraphic 2 Terms of Use
・SimpleAppli-Agent Terms of Use
・Kagima Beta Terms of Use
・Cloud Service Terms of Use (for ChemGraphic 1)
1-3. If you and we have concluded a separate contract for system development, the building and maintenance of a local AI agent, or other services, the provisions of that contract prevail over these Terms and the Product Terms.
1-4. If the Service is provided through another company, that company's terms of use also apply in addition to these Terms.
・When provided through Apple's App Store
https://www.apple.com/legal/internet-services/itunes/dev/stdeula/
・When provided through Google Play
https://play.google.com/about/play-terms/index.html
・When provided through the Microsoft Store

2. Agreement to these Terms

2-1. You may use the Service only if you agree to these Terms.
2-2. You are deemed to have agreed to these Terms when you use the Service or when you perform an operation indicating your agreement within the app or elsewhere.
2-3. Persons under the age of 13 may not use the Service. If you are a minor aged 13 or older, please obtain the consent of your parent or other legal guardian before using the Service.
2-4. If you use the Service on behalf of a corporation or other organization, you represent that you have the authority to agree to these Terms on behalf of that organization.

3. Changes to these Terms

3-1. We may change these Terms (including the Product Terms; the same applies throughout this Section) in accordance with Article 548-4 of the Civil Code of Japan in either of the following cases:
(1) When the change conforms to the general interests of customers
(2) When the change does not contradict the purpose of the contract for the use of the Service and is reasonable in light of the necessity of the change, the appropriateness of the changed content, and other circumstances relating to the change
3-2. When we change these Terms, we will set an effective date and, before that date, announce that these Terms will be changed, the changed content, and the effective date by posting on our website or by other appropriate means.
3-3. If you use the Service on or after the effective date, the changed Terms apply to you. If you do not agree to the changed Terms, please stop using the Service and cancel any auto-renewing services before the effective date.

4. License

4-1. We grant you a non-exclusive, non-transferable and non-sublicensable right to use the Service in accordance with these Terms.
4-2. Products licensed per device (such as ChemGraphic 1) may be used on one device per license. To use them on multiple devices, you need as many licenses as there are devices. However, all devices managed with the same Apple ID, Google account or Microsoft account are counted as one device. For example, if the same Apple ID is set up on three devices, those three devices can be used with one license.
4-3. The conditions of use for products provided per account (such as ChemGraphic 2) are set out in the respective Product Terms.
4-4. You may not transfer, lend or sublicense your right to use the Service to any third party. However, for per-device licenses, we permit use on shared devices in university laboratories and similar settings (for example, a laboratory PC).
4-5. In the case of direct transactions with us, unless otherwise agreed, you may use the Service only during the term of your contract with us.

5. Account management

5-1. When you register an account for the Service, you must register accurate information.
5-2. You must manage your authentication information, such as passwords, passkeys and the accounts of other services used to sign in, at your own responsibility, and must not let any third party use it or lend, transfer or sell it.
5-3. We are not liable for any damage you suffer due to insufficient management of authentication information, errors in use, use by a third party or the like. However, if we are responsible for the cause, Section 12 applies.
5-4. You may delete your account and stop using the Service at any time by the method specified for each service. Please note that deleting your account does not cancel auto-renewing services purchased through a store such as the App Store. Please cancel them through the store where you purchased them.

6. Fees and payment

6-1. The fees for the Service are the amounts shown in the Service or on the purchase screen, and are charged by us or through a payment provider designated by us (each store, Stripe, etc.).
6-2. Auto-renewing services renew automatically at the end of each contract period unless you cancel by the deadline set by each store or other provider. Please cancel through the account settings of the store or other provider where you purchased the service. For auto-renewing services that we do not manage, please contact the relevant company.
6-3. Because the Service is provided by mail order (distance selling), it is not subject to cooling-off. Fees you have paid are not refundable, including on a pro-rata basis, except in the following cases:
(1) When a refund is permitted by law
(2) When we compensate for damage under Section 12
(3) When a store issues a refund under its refund policy
6-4. An auto-renewing service with a free trial automatically converts to a paid contract after the free trial ends unless you cancel by the deadline set by each store or other provider. The conditions and number of free trials follow each store's rules. Even if a service has multiple plans, the right to the first free trial is lost once you use a free trial on any of the plans.
6-5. Any unused portion of a free trial period distributed through a campaign or the like expires when you purchase a subscription to the relevant service.
6-6. We may limit or offer preferential treatment for all or part of the Service to customers who meet conditions we set.
6-7. We may change the fees for auto-renewing services. Fee changes apply from the billing period that starts after the change. If we raise a fee, we will notify you in advance, allowing a reasonable period. If a store has its own procedure (such as obtaining your consent), we will also follow that procedure.
6-8. For purchases made through a store such as the App Store, Google Play or the Microsoft Store, the price, billing timing, contract period, auto-renewal, free trial, cancellation and refund conditions are as shown by each store at the time of purchase and as set out in each store's terms. We try to display prices and other information in the Service and on our website as accurately as possible, but our display may differ from the store's display for reasons such as store specifications or the time it takes to reflect price changes. In that case, the store's display and terms prevail.

7. Prohibited acts

When using the Service, you must not do any of the following:
7-1. Acts that violate laws, court judgments, decisions or orders, or legally binding administrative measures
7-2. Acts that may harm public order or morals
7-3. Acts that infringe our or a third party's copyrights, trademark rights, patent rights or other rights
7-4. Providing benefits to or otherwise cooperating with anti-social forces
7-5. Religious activities or solicitation for religious organizations
7-6. Exchanging the right to use the Service for cash or cash equivalents
7-7. Unauthorized access, probing for vulnerabilities in the Service or other hacking, use of the Service by bots, and acts that place unnecessary load on us or on computers we manage
7-8. Using the Service on a device whose security features have been disabled by rooting, jailbreaking or the like
7-9. Analyzing the software of the Service by decompiling, disassembling, reverse engineering or any similar method (including where AI or other tools are used), except for acts permitted by the license of third-party software included in the Service
7-10. Improperly circumventing usage limits of the Service, such as free trial periods, usage counts or storage capacity, by creating multiple accounts or by other means
7-11. Impersonating another person or registering false information
7-12. Other acts equivalent to the above that we reasonably determine to be inappropriate

8. Suspension of use

8-1. If you violate these Terms, or if we reasonably determine that you are likely to do so, we may, without prior notice, suspend your use of all or part of the Service, or suspend or delete your account.
8-2. We may check your usage of the Service to the extent necessary to confirm compliance with laws or these Terms, to prevent unauthorized use, or to improve the Service. However, this does not apply to information that we cannot view because it is encrypted or for other reasons.

9. Changes, interruption and termination of the Service

9-1. We may change the content of the Service.
9-2. We may interrupt all or part of the Service without prior notice for system maintenance, equipment failure, natural disaster or other unavoidable reasons.
9-3. We may end the provision of all or part of the Service after announcing it in advance on our website or by other means. Of any prepaid fees we received directly, we will refund the portion corresponding to the period from the month following the month in which the end date falls (the fee for the month in which the end date falls will not be refunded). Refunds of fees paid through a store follow that store's rules.

10. Your data

10-1. The rights to data you create or store using the Service (drawings, files, messages, etc.) belong to you or the rightful owner.
10-2. You grant us, free of charge, permission to use the data in the preceding paragraph (including storing, copying, transmitting and converting its format) to the extent necessary to provide and maintain the Service, deal with defects, and improve the Service.
10-3. If the Product Terms provide otherwise (for example, posts to the ChemGraphic 1 Open Cloud), those provisions apply.
10-4. You are responsible for backing up any data you need.

11. Scope of warranty

THE SERVICE IS PROVIDED "AS IS." WE WORK TO IMPROVE THE QUALITY OF THE SERVICE AND TO REDUCE DEFECTS, BUT TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE (INCLUDING CALCULATION RESULTS AND AI OUTPUT), INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR YOUR PARTICULAR PURPOSE, THE ACCURACY OR USEFULNESS YOU EXPECT, OR FREEDOM FROM DEFECTS.
This Section does not exempt us from our liability for damages under the next Section.

12. Liability for damages

12-1. If you suffer damage for reasons attributable to us, we will compensate for that damage in accordance with this Section.
12-2. In the case of the preceding paragraph, only where we have not acted intentionally or with gross negligence (that is, in the case of ordinary negligence), our liability is limited to ordinary and direct damage actually incurred by you (excluding damage arising from special circumstances and lost profits), and is capped at an amount equal to one month's fee for the relevant service (for an annual fee, one-twelfth of that fee). For services with no fee, the cap is 1,000 yen.
12-3. If we have acted intentionally or with gross negligence, the limitations in the preceding paragraph do not apply.
12-4. We are not liable for damage that occurs for reasons not attributable to us, such as natural disasters, incidents or other force majeure.

13. Your responsibilities

13-1. You use the Service at your own responsibility and are responsible for the content you create or send through the Service.
13-2. If you violate these Terms, or cause damage to us intentionally or negligently, you must compensate us for the damage incurred (including reasonable attorneys' fees).
13-3. If a dispute arises between you and a third party in connection with the use of the Service, you must resolve it at your own responsibility and expense, except where the dispute is caused by reasons attributable to us.

14. Handling of personal information

We handle your personal information appropriately in accordance with our Privacy Policy. To provide the Service, your information may be processed on servers outside Japan (such as in the United States). For details, please see our Privacy Policy.

15. Communications and notices

15-1. We communicate with you about the Service by posting on our website, displaying in the app, sending to your registered email address, or by other methods we consider appropriate.
15-2. Please contact us about the Service by the method we specify, such as the contact page on our website.

16. Exclusion of anti-social forces

16-1. You represent and warrant that you are not, and will not in the future become, an organized crime group, a member of such a group, a company related to such a group, a corporate racketeer or any other anti-social force, and that you will not provide funds to or otherwise be involved with them.
16-2. If you breach the preceding paragraph, we may terminate the contract for the use of the Service without any notice.

17. Assignment of rights and obligations

17-1. You may not assign to any third party, or provide as security, your position under the contract for the use of the Service or your rights and obligations under it, without our written consent.
17-2. If we transfer the business relating to the Service to a third party, we may transfer our position under the contract for the use of the Service, our rights and obligations, and your information to the transferee in connection with that business transfer.

18. Severability

Even if any provision of these Terms, or any part of it, is held invalid or unenforceable under the Consumer Contract Act of Japan or other laws, the remaining provisions of these Terms remain in full force and effect. Even if a provision is held invalid or unenforceable with respect to some customers, it remains in effect with respect to other customers.

19. Governing law and jurisdiction

These Terms are governed by the laws of Japan, and the version written in Japanese is the official version. Any dispute between you and us is subject to the exclusive jurisdiction of the Kobe District Court as the court of first instance.
